Qualifications

• J.D. from ABA-accredited law school; Minnesota bar admission required within 12 months or eligible for in-house registration.
• At least 3 years of experience at a large law firm or corporate legal department with governance exposure.
• Strong project management and communication to coordinate stakeholders and outside advisors.

Responsibilities

• Support development of governance policies, practices and disclosures.
• Assist Corporate Governance Committee with agendas and materials.
• Coordinate Board/Committee meeting materials and minutes; draft resolutions.
• Assist in proxy statement drafting, annual stockholders meeting planning.
• Support investor engagements on governance and ESG matters.
• Provide governance support for subsidiaries; coordinate outside counsel.
• Conduct legal research on corporate law and SEC disclosures; assist M&A team.
• Ensure compliance with NYSE listing standards and notices.
