Job summary

Latitude is seeking an experienced Senior Corporate Paralegal to join its in-house legal team in Minneapolis, supporting domestic and cross-border M&A and corporate transactions. You'll coordinate due diligence, data rooms, closing materials, governance, and multi-jurisdiction filings in a fast-paced, deal-driven environment.

Qualifications

• 5+ years of corporate paralegal experience in a law firm or sophisticated in-house legal department.
• Significant experience supporting complex M&A transactions from due diligence through closing.
• Strong knowledge of corporate governance, subsidiary management, and corporate records.
• Experience managing virtual data rooms and preparing transaction documents and closing binders.
• Proficiency with Microsoft Office and legal tech platforms; familiarity with AI tools.

Responsibilities

• Coordinate legal due diligence and manage virtual data rooms.
• Prepare transaction documentation, disclosure schedules, and closing materials.
• Support subsidiary management and board governance, and multi-jurisdiction filings.
• Leverage legal technology and AI tools to improve efficiency and workflows.
• Collaborate with attorneys, business leaders, and outside counsel on transactions.
