Job summary

FUJIFILM Holdings America Corporation seeks a Counsel to provide practical, business-focused legal guidance on commercial agreements and complex CDMO-life sciences matters. You will draft, review, and negotiate MSAs, SOWs, licenses, and NDAs, while supporting risk mitigation and global alignment with internal and external stakeholders.

You will collaborate across functions, advise on IP provisions and regulatory concerns, and help develop templates, playbooks, and training to enhance contracting

Qualifications

• Juris Doctor from an accredited law school; honors preferred.
• Licensed to practice in at least one U.S. state; North Carolina admission preferred.
• Strong commercial-contracting background with drafting and negotiating complex services, development, manufacturing, supply, licensing, and confidentiality agreements.
• Ability to resolve issues independently within established frameworks while escalating when needed.
• Strong negotiation, written communication, and presentation skills.
• Pragmatic, analytical, and customer-focused problem solving in a global, matrixed environment.
• Familiarity with life sciences regulatory topics and multi-jurisdiction contracting is preferred.
• Proficiency with modern legal tech and willingness to use AI and new tech.

Responsibilities

• Draft, review, and negotiate a broad range of commercial agreements (MSAs, SOWs, supply, development, manufacturing, services, licenses, NDAs).
• Advise business teams on legal issues arising from collaborations, bids, and programs; support issue resolution and deal closure.
• Identify regulatory and business risks and escalate high-risk matters to senior counsel or subject-matter experts.
• Manage an assigned caseload with independence, prioritizing based on risk and deadlines; communicate status clearly.
• Provide advice on IP provisions, licenses, know-how, and related allocation with patent counsel as needed.
• Prepare briefings and practical recommendations for business colleagues and management on contracts and compliance.
• Develop and improve templates, playbooks, and contracting standards across FLBG.
• Deliver legal training on contracting processes and precedents.
