Job summary

FUJIFILM Holdings America Corporation is seeking a Counsel to provide practical, business-focused legal advice on commercial agreements and life-sciences matters. You will draft, review, and negotiate MSAs, SOWs, licenses, and NDAs, while coaching cross-functional teams and aligning with global standards.

You will identify risks, mitigate issues, and support strategic customer programs, training, and processes across US and international affiliates. A JD and US bar admission are required.

Qualifications

• Jurist degree and bar admission to practice in the United States.
• Experience drafting and negotiating complex commercial and life-sciences agreements.
• Ability to advise cross-functionally with business and legal teams.

Responsibilities

• Draft, review, and negotiate broad commercial agreements including MSAs, SOWs, licenses, and NDAs.
• Advise business teams on legal and regulatory issues arising from collaborations and bids.
• Identify and mitigate legal and business risks in CDMO/life-sciences operations.
• Manage caseload independently with clear status updates to stakeholders.
• Provide IP-related guidance in coordination with patent counsel as needed.
• Develop templates, playbooks, and training to standardize contracting practices.
• Support contract lifecycle management and process improvements globally.
• Collaborate with internal and external counsel on specialized matters.
