Job summary

FUJIFILM Holdings America Corporation seeks a Counsel to provide practical, business-focused legal advice on commercial agreements and IP matters for its US and global CDMO operations. You will draft and negotiate MSAs, SOWs, licenses, and NDAs, while mitigating risk and enabling timely, customer-focused outcomes.

You will collaborate with commercial, program management, and other teams, escalating high-risk issues to senior counsel as needed.

Qualifications

• Juris Doctor from an accredited law school; honors preferred.
• Admitted to at least one US state bar; NC admission preferred.
• 3–8 years of relevant experience in a law firm or in-house setting.
• Strong contracting experience with complex services, development, manufacturing, licensing, and confidentiality agreements.
• Ability to manage workload in a dynamic, global, matrixed environment.
• Familiarity with life sciences, GMP interfaces, data privacy and pharmaceutical regulation.

Responsibilities

• Draft, review, and negotiate MSAs, SOWs, supply, development, manufacturing, and service agreements.
• Advise business teams on legal and contractual issues for collaborations, bids, and programs.
• Identify and mitigate legal and business risks; escalate high-risk matters.
• Manage assigned caseload with independence and clear stakeholder communication.
• Provide IP-related guidance on licenses, background/foreground IP, and know-how.
• Prepare briefs and practical recommendations for business colleagues and management.
• Develop templates, playbooks, and contracting standards across FLBG.
• Deliver legal training on contracting, precedents, and compliance topics.
• Support CLM improvements and use of AI responsibly in contracting processes.
• Coordinate with internal SMEs and outside counsel on specialized matters.
• Support dispute avoidance and provide ancillary legal support to HR, EHS, Quality, and Compliance.
• Collaborate across US, UK, Denmark, and global Fujifilm organizations for consistency.
