To strengthen the legal team at our North American head office in Houston, Texas, we are looking for a Senior Legal Counsel who will advise on assigned legal areas of law and support defined business areas from a legal perspective.
We need your expertise to:
• Advise and provide legal support in contracts, projects and transactions covering areas such as commercial law, contract law, corporate law, IP/ licensing, antitrust, governance, and construction law. Other areas that could be covered include, insurance, real estate, procurement, and regulatory law.
• Serve as the primary point of contact and a strategic business partner for the US and South American operations and management, ensuring their legal support independently in complex matters and in matters that require higher board approval.
• Act as the management’s and business’ legal sparring partner during the day-to-day business
• Manage claims and litigations.
• Ensure compliance with applicable corporate laws and/or internal corporate rules.
Additionally you will:
• Monitor legal developments (legislation, case law) and update the Legal Department as well as business partners on important developments.
• Work closely with other support functions and members of the Legal Department.
• Proactively provide legal guidance to business stakeholders and support them in making informed decisions.
• Assist in selecting, contracting and supervising external lawyers in transactions and/or projects, ensuring that Borealis’ standards and goals are safeguarded.
• Develop, organize, and conduct internal trainings.
• Interface with authorities, partners, customers, suppliers, and Legal Departments of shareholders/joint ventures.
Requirements:
• J.D. Degree and a membership in good standing of any US Bar.
• Minimum of seven years of relevant work experience in a reputable international law firm and/or in the Legal Department of an international company.
• Experience in drafting and negotiating commercial contracts, with sound legal and business judgment.
• Strong problem-solving skills, commercial mind-set, and the ability to coordinate cross-over issues from company-wide projects.
• Excellent organization and analytical skills.
• Driven team player who can work independently, take initiativ, and deliver pragmatic and hands-on advice.
• Ability to deal with multiple tasks simultaneously in a dynamic, international environment.
• Willingness to be an assertive leader is another asset you can bring into this role.
• Excellent command of the English language, as well as presentation and communication skills, are a must.
• Must reside in the Houston, TX area.
