We are seeking a Senior Legal Counsel to join our dynamic legal team.
Responsibilities
- Reporting to the General Counsel, serve as a Legal Business Partner, providing legal support on a wide range of matters primarily in North America.
- Provide practical, business-oriented legal advice to all business functions.
- Collaborate with the commercial/sales team by providing legal guidance on contract terms, risk assessment, and mitigation strategies, balancing business priorities and legal considerations.
- Draft, review, and negotiate a high volume of commercial contracts, including master services agreements, statements of work, confidentiality agreements, subcontractor agreements, and vendor agreements.
- Assist with contract lifecycle management, including developing and maintaining contract templates, clause books, and negotiation playbooks.
- Manage corporate-related matters with local advisors.
- Work proactively with stakeholders to prevent legal disputes and mitigate legal exposure.
- Contribute to the integration of new affiliates and ensure consistency in legal practices and policies.
- Assist in developing and implementing corporate policies and procedures to promote compliance and reduce risks.
- Support dispute resolution, pre-litigation matters, and manage outside counsel relationships.
- Develop and support the group’s compliance program.
- Provide internal training on legal and compliance issues.
- Complete special projects as assigned by leadership.
Experience
- US-qualified lawyer with an MBA in private law.
- Minimum of 10 years of Post-Qualified Experience (PQE).
- Experience working on projects across North America, Asia, and Australia.
- Knowledge of local laws relevant to these regions.
- Expertise in GDPR, commercial law, tax law, corporate law, risk management, insurance, intellectual property, procurement, CSR regulations, and M&A.
- Experience in the healthcare sector is a plus.
- Proactive, agile, and adaptable to new challenges and regulations.
- Multilingual skills relevant to the regions are advantageous.
