Job Title: Senior Transactions Counsel

Job Summary: We are working with a company seeking an experienced Senior Legal Counsel with a strong background in renewable energy projects, land acquisition, development, and leasing transactions, as well as corporate legal matters. This role requires a skilled attorney adept at negotiating, structuring, and closing complex real estate transactions, particularly those involving raw land and large-scale commercial, industrial, or renewable energy projects. Additionally, the position involves advising on corporate governance, risk management, and legal compliance. This strategic position works closely with executive leadership, external counsel, and internal stakeholders to support business growth and ensure the seamless execution of transactions.

Key Responsibilities:

• Real Estate Transactions: Lead the negotiation, structuring, and closing of real estate deals, including acquisitions, sales, ground leases, easements, and development agreements. Work closely with internal teams and external counsel to align transactions with business objectives.
• Title & Survey Review: Identify and resolve title and survey issues, including encumbrances, mineral rights, access rights, and title insurance coverage.
• Due Diligence & Risk Assessment: Oversee and conduct comprehensive due diligence on real estate transactions, including reviewing land use, environmental reports, ALTA surveys, zoning, permitting, and title commitments.
• Contract Drafting & Negotiation: Prepare and negotiate key legal documents such as purchase and sale agreements, lease agreements, easements, and development contracts.
• Risk Management & Compliance: Assess legal risks associated with real estate and corporate transactions, ensuring compliance with internal policies, contractual obligations, and regulatory requirements.
• Corporate Governance & Legal Advisory: Provide guidance on corporate structuring, governance, and compliance matters, supporting key business decisions and strategic initiatives.
• Dispute Resolution & Litigation Oversight: Manage legal disputes related to real estate transactions, coordinating with outside counsel to minimize risks and liabilities.
• Cross-Functional Collaboration: Partner with finance, operations, and land teams to integrate legal strategies into broader business goals.

Qualifications & Experience:

• Education & Licensing: Juris Doctor (J.D.) from an accredited law school; active bar membership in Texas or another U.S. state.
• Experience: At least 10 years of legal experience with a focus on real estate transactions, land acquisition, and corporate law.
• Industry Expertise: Background in renewable energy, infrastructure, or large-scale commercial real estate is strongly preferred.
• Real Estate & Corporate Law Knowledge: Extensive experience handling title and survey reviews, easements, land use issues, mineral rights, and risk mitigation in complex real estate transactions.
• Transactional & Negotiation Skills: Proven ability to manage and close high-value real estate and corporate transactions while effectively negotiating contracts.
• Compliance & Risk Management: Strong understanding of regulatory compliance, contract law, and corporate governance.
• Business Acumen: Ability to align legal strategy with broader business objectives and assess risk while supporting company growth.
• Additional Considerations: Experience with REIT compliance, real estate investment structures, or capital markets transactions is a plus.
