Job summary

Confident Search Consultants is assisting a national AmLaw 200 firm in recruiting an Investment Funds Associate Attorney for its Investment Management & Funds practice across multiple U.S. offices.

The role is hybrid, requiring senior-level expertise in fund formation and regulatory matters for sponsors and managers. The candidate will handle complex structuring, governance, and disclosures, with a track record in private equity, hedge funds, and alts.

Qualifications

• JD from ABA-accredited law school with excellent academic record
• Active bar admission in the relevant jurisdiction in good standing
• 10+ years of investment fund formation, structuring, and regulatory compliance
• Deep knowledge of private equity funds, hedge funds, credit funds, and other alts
• Experience advising sponsors and managers on fund governance and disclosures
• Strong familiarity with U.S. investment management regulations and SEC requirements
• Ability to manage complex matters independently for sophisticated clients
• Large law firm experience strongly preferred

Responsibilities

• Advise fund sponsors and investment managers on formation, structuring, and launch of investment funds across asset classes
• Draft and negotiate fund documentation: PPMs, LPAs, operating agreements, and subscription materials
• Counsel clients on regulatory compliance under securities laws
• Provide ongoing advice on fund operations, governance, and investor relations
• Collaborate with tax, regulatory, and transactional teams to deliver solutions
• Stay current on regulatory developments impacting the investment management industry
