Job summary

Accounting Search is seeking an senior Investment Funds Attorney for a national AmLaw 200 firm's Investment Management & Funds practice. The role focuses on high-value fund formation, structuring, and compliance for private equity sponsors, hedge funds, and other managers across multiple U.S. offices.

Hybrid work arrangement is available. Ideal candidates hold a JD from an ABA-accredited law school with excellent academics, active bar admission, and 10+ years of relevant experience,

Qualifications

• JD from an ABA-accredited law school with an excellent academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing.
• 10+ years of significant experience in investment fund formation, structuring, and ongoing regulatory compliance.
• Deep knowledge of private equity funds, hedge funds, credit funds, and other alternative investment vehicles.
• Experience advising sponsors and managers on fund governance, disclosures, and regulatory matters.
• Strong familiarity with U.S. investment management regulations, including the Investment Advisers Act of 1940 and related SEC requirements.
• Ability to manage complex matters independently and serve as a trusted advisor to sophisticated clients.
• Excellent oral and written communication skills, sound judgment, and a client-focused approach.
• Large law firm experience strongly preferred.

Responsibilities

• Advise fund sponsors and investment managers on the formation, structuring, and launch of investment funds across multiple asset classes.
• Draft and negotiate fund documentation, including private placement memoranda, limited partnership agreements, operating agreements, and subscription materials.
• Counsel clients on regulatory compliance matters under federal and state securities laws.
• Provide ongoing advice regarding fund operations, governance, and investor relations.
• Collaborate with colleagues across tax, regulatory, and transactional teams to deliver comprehensive legal solutions.
• Stay current on regulatory developments impacting the investment management industry.
