Job summary

CMG Networks seeks an experienced, thoughtful in-house attorney to join our Bedminster, NJ corporate headquarters. You will provide expert legal advice on commercial agreements, government contracts, regulatory matters, corporate governance, employment, and legislative affairs.

This hands-on role enables fast-moving business growth by shaping policy, drafting and negotiating contracts, performing due diligence, and aligning legal risk with strategic objectives at the intersection of law,

Qualifications

• J.D. with strong academic record and NJ admission (or eligible in-house).
• 15+ years of progressive legal experience, including 5+ years in senior leadership.
• Experience drafting and negotiating government contracts or technology/ construction projects.
• Experience advising on legislation, regulatory matters, corporate affairs and compliance.
• Excellent communication and collaboration skills.
• Knowledge of Public/Private Partnerships and related energy/PPP instruments is a plus.
• Active Top Secret clearance or ability to obtain.

Responsibilities

• Shape advisory and transaction services portfolio to align with market opportunities.
• Advise on project finance, capital structures, and operating frameworks for tech and infrastructure delivery.
• Advise on federal rules governing public/private co-investment in real estate and utility projects.
• Structure, draft, negotiate, and execute critical contracts and agreements.
• Conduct due diligence and advise on partnerships, joint ventures, and M&A.
• Monitor federal laws, regulations, policy, and industry trends impacting operations.
• Identify legal and regulatory risks and develop mitigation strategies.
• Draft corporate documents, annual reports, disclosures, and regulatory filings.
• Advise leadership on operations, governance, and employment matters.
