Inception Fertility Corporate Services is seeking an Associate General Counsel to support a rapidly growing fertility platform. You will own matters end‑to‑end—from physician employment agreements to diligence on acquisitions—working directly with the CLO and executive team.

You will handle commercial contracting, physician and provider arrangements, and transactions while navigating ART regulatory issues across multiple states, counsel on governance, and manage outside counsel as needed.

Qualificações

• J.D. and active bar in at least one U.S. jurisdiction.
• 5–8 years of combined law firm and in‑house experience.
• Healthcare experience in provider‑side, payor‑side, or healthcare services transactional work; willingness to learn ART/fertility."
• Strong drafting and negotiation skills across a broad range of agreement types.
• Sound, practical judgment with the ability to give clear business guidance.

Responsabilidades

• Draft, negotiate, and manage the full range of commercial agreements for vendors, labs, equipment, technology, licenses, marketing, and real estate.
• Draft and negotiate physician employment, professional services, and partner/equity documents; structure compensation with relevant healthcare laws.
• Support add‑on acquisitions and de novo openings; manage outside counsel on transactions including budgeting and scoping.
• Advise on ART‑specific regulatory matters (HIPAA, FDA, CLIA/CAP, No Surprises Act, price transparency).
• Maintain multi‑state entity governance, sponsor/lender reporting, and day‑to‑day employment advice; handle pre‑litigation matters.
