Job summary

Inception Family Career seeks an Associate General Counsel to join a small, high-leverage legal team supporting a rapidly growing, PE-backed fertility care platform. The role is a generalist with a corporate/commercial center of gravity and healthcare regulatory focus related to ART and fertility.

You will own matters end-to-end—from physician employment agreements to practice acquisition diligence—working directly with the CLO, executive team, clinic leadership, and physician partners, with

Qualifications

• J.D. and bar in good standing in at least one U.S. jurisdiction.
• 5–8 years of combined law firm and in-house experience.
• Healthcare experience in provider/payor or services transactional work preferred, ART/fertility exposure not required but willingness to learn.
• Strong commercial drafting and negotiation skills across diverse agreements.
• Discernment and practical judgment for business-facing legal advice.

Responsibilities

• Draft, negotiate, and manage commercial agreements including vendor, laboratory, equipment, technology/SaaS licenses, marketing, media, and real estate leases.
• Own contract lifecycle from intake to signature routing and repository; improve processes as volume grows.
• Negotiate payor agreements with fertility benefit managers and employer-sponsored programs.
• Draft physician employment, professional services, medical directorship, recruitment, relocation, and partnership documents.
• Structure compensation arrangements with Anti-Kickback Statute, Stark Law, and state rules; advise on corporate practice of medicine constraints across states.
• Support add-on acquisitions and de novo openings with diligences, purchase agreements, and structuring.
