Job summary

Valmont Industries in Omaha, NE seeks a Vice President, Segment General Counsel & Assistant Corporate Secretary to serve as the senior legal advisor to a business segment and provide strategic support to the Corporate Secretary’s office.

You will partner with segment leadership to guide practical, risk-balanced legal counsel for growth, governance, and regulatory compliance, leading complex deals, M&A activity, and board governance initiatives.

Qualifications

• Juris Doctor and bar admission in at least one U.S. jurisdiction with Nebraska in-house eligibility.
• 12+ years in corporate/transactional law including mergers, acquisitions, divestitures, and governance.
• Experience with public company governance, SEC reporting, Section 16 regulations, and NYSE standards.

Responsibilities

• Lead negotiation, drafting, review and approval of complex commercial agreements and customer transactions.
• Oversee acquisitions, divestitures, joint ventures, strategic investments, and other significant business transactions.
• Lead legal due diligence, transaction documentation, closing activities, and post-acquisition integration support.
• Manage outside counsel engagement, budgets, and legal service delivery; support board governance processes.
