Job summary

Winston Taylor seeks a skilled paralegal to support its Funds practice across the full fund lifecycle, from formation to dissolution. You will handle LP-led secondaries, GP-led secondaries, and continuation vehicle transactions, ensuring confidentiality and precise time tracking.

The role requires at least 5 years of paralegal experience, strong document management skills (iManage, DocuSign), and hands-on fund formation experience.

Qualifications

• Bachelor's degree required; Paralegal certificate a plus.
• Minimum of 5+ years of paralegal experience, preferably at a law firm handling complex fund matters.
• Hands-on experience with Continuation Vehicle and GP-led Secondaries is essential.
• Strong proficiency with Word, Excel, Outlook, iManage; knowledge of doc management systems and e-signature tools beneficial.

Responsibilities

• Manage LP-led secondary transaction projects from engagement through close.
• Coordinate NDA reviews, GP consents, and investor documentation.
• Support fund formation and related side letters, amendments, and registrations.
• Track investor subscriptions and capital activity; keep diligent project trackers.
• Assist with DRS forms, EDGAR filings, and related regulatory paperwork.
• Provide administrative support to attorneys and paralegals within Funds Formation.
