Job summary

Winston Taylor LLP is seeking an experienced paralegal to support the Funds practice across the full fund lifecycle, from formation to dissolution. You will manage LP-led and GP-led secondary transactions, coordinate AML/KYC diligence, and assist in fund formation and ongoing compliance efforts.

Ideal candidates have 5+ years of paralegal experience in a law firm, strong technical skills with iManage, Word, Excel, and DocuSign, and the ability to handle multiple complex matters under deadline

Qualifications

• Bachelor's degree required.
• Paralegal certificate from an ABA-approved institution a plus.
• Minimum of 5+ years of paralegal experience at a law firm handling complex matters for large corporate and fund clients.

Responsibilities

• LP-Led Secondaries: Manage the transfer process and provide project management support from engagement through closing.
• Coordinate NDA reviews and initial GP consent forms; complete investor questionnaires and related subscription documentation.
• Coordinate AML and KYC diligence for transferees with sponsor counsel and fund administrators.
• Support tax with transfer due diligence, including ECI and FIRPTA withholding certifications.
• Track and manage status across multiple LP-led secondary transactions to drive closings.
• GP-led Secondaries: assist with formation of continuation vehicles and related documentation; track investor elections and signing.
• Fund Formation: draft partnership agreements, operating agreements, side letters, and closing materials; file forms with SEC/IRS.
• Ongoing Fund Operations & Compliance: maintain investor information, process KYC/AML requests, support attorneys and paralegals.
