Job summary

Liberty Personnel Services, Inc. is seeking an entry-level associate to join its Boston or San Francisco office. The role involves advising venture capital, growth equity, and private equity clients on sophisticated transactional and operational matters.

Prior fund formation experience is preferred but not required. Attorneys with broader corporate or transactional backgrounds who want to move into this practice are encouraged to apply.

Qualifications

• JD earned between 2021 and 2026.
• MA or CA bar admissions strongly preferred. Candidates who have taken the bar and are awaiting results will also be considered.
• Strong academic credentials from a nationally recognized law school.
• Strong interest in venture capital, growth equity, and private investment markets.

Responsibilities

• Advise clients on structuring, formation, and ongoing operation of investment vehicles and related entities.
• Draft and negotiate offering materials, partnership and LLC agreements, governing documents, and investor side letters.
• Counsel clients on securities laws, investment transactions, tax considerations, and regulatory compliance.
• Address operational matters involving conflicts of interest, compliance, employment and consulting arrangements, and commercial agreements.
• Assist with the formation and governance of general partner and management company entities.
• Advise on investor admissions, separation arrangements, and loans involving funds and affiliated entities.
• Collaborate with clients and colleagues on complex transactions and regulatory matters.
