Qualifications

• 5 to 8 years of experience advising companies on executive compensation, employee benefits and incentive arrangements.
• Experience handling compensation and benefits issues in mergers and acquisitions and other transactional matters.
• Admission to and good standing with the California Bar.
• Strong academic credentials with exceptional analytical, writing and organizational skills.
• Background in a large law firm or similarly sophisticated platform strongly preferred.

Responsibilities

• Advise on executive compensation, equity and incentive arrangements for public and private company clients.
• Support the compensation and benefits aspects of mergers and acquisitions, spin offs and other corporate transactions.
• Draft and negotiate executive employment, severance, incentive and equity plan documentation.
• Coordinate with tax, corporate, employment and securities colleagues on complex cross border matters.
• Work closely with partners and clients, taking substantive responsibility for workstreams and client communications.
