Job summary

HireNow Staffing is actively recruiting a seasoned Executive Compensation Associate to join one of our client partners. This full-time opportunity targets an attorney with 4–6 years of executive compensation experience who thrives at the intersection of corporate transactions, securities law, tax law, and executive incentive planning.

The successful candidate will advise sophisticated corporate clients on compensation strategies supporting mergers and acquisitions, equity compensation programs,

Qualifications

• J.D. from an accredited law school and active bar admission.
• 4–6 years of experience practicing executive compensation law.
• Strong knowledge of IRC sections 409A, 280G, 83, and 421–424.
• Experience advising on mergers, acquisitions, and public company reporting.
• Ability to draft, review, and negotiate executive agreements and equity plans.
• Excellent communication, research, drafting, and analytical skills.

Responsibilities

• Advise corporate clients on executive compensation matters throughout the business lifecycle.
• Support mergers, acquisitions, restructurings, financings, and incentive programs.
• Draft, review, and negotiate executive employment agreements and incentive plans.
• Counsel on compensation compliance under tax and securities regulations.
• Guide equity incentive plans and disclosures for public company reporting.
• Collaborate across corporate, tax, securities, benefits, and M&A teams.
• Analyze evolving regulatory developments impacting compensation programs.
• Deliver practical legal counsel while managing multiple matters with attention to detail.
