Job summary

QTS Data Centers seeks a Senior Paralegal for Entity Governance & REIT Structure to manage a complex portfolio of domestic and international entities. The role drives governance actions, maintains corporate records, and partners with Legal, Tax, Finance, and other stakeholders on formations, reorganizations, and compliance across jurisdictions.

Qualifications

• Bachelor’s degree or equivalent combination of education and relevant professional experience.
• Minimum 5 years of corporate paralegal or corporate governance experience.
• Experience managing a large/complex portfolio of domestic entities.
• Knowledge of corporate structures including operating partnerships and REITs.
• Experience preparing corporate secretary materials and entity documents.

Responsibilities

• Own day-to-day governance and lifecycle management of domestic and international entities.
• Serve as SME on corporate organization and relationships within the REIT structure.
• Coordinate formations, reorganizations, and filings across jurisdictions.
• Maintain corporate books, records, charters, bylaws, and charts.
• Lead governance workflows, templates, and controls for audit readiness.
• Mentor paralegals and legal staff on entity governance processes.
