Job summary

SEI is seeking a Data Licensing & Technology Transactions Attorney in Oaks, PA to support business, technology, operations and procurement teams. You will draft and negotiate agreements across data, software, services and strategic partnerships, advise on data governance and AI use cases, and work with compliance and security teams to mitigate risk.

Qualifications

• Law degree and active bar membership in a U.S. state.
• 4-8 years’ experience drafting, negotiating and advising on complex commercial transactions including technology, software, data licensing, outsourcing, procurement or strategic vendor transactions.
• Strong understanding of technology development, software licensing, financial services and professional services contracts.
• Familiarity with data governance, intellectual property, information security and privacy concepts.
• Ability to assess legal risk while delivering practical, commercially focused business advice.
• Excellent negotiation, project management and stakeholder management skills.
• Ability to independently manage multiple high-value, complex transactions while supporting business objectives.
• Comfort operating in a dynamic, fast-paced, often-changing environment.

Responsibilities

• Draft, negotiate and review the company's agreements with clients and third-party service providers, including NDAs, professional services, outsourcing, software licenses, data licenses, development and strategic technology partnerships.
• Lead complex negotiations involving data licensing, market data, exchange and benchmark licensing, index licensing and alternative data, SaaS and cloud services.
• Serve as legal advisor on enterprise data acquisition, data licensing initiatives and governance.
• Advise stakeholders on contractual rights and restrictions for internal use, client-facing use, redistribution, API rights and derived data rights.
• Support data strategy initiatives with governance, privacy and compliance teams and provide practical risk guidance.
• Drive improvements to contracting templates, workflows and leverage AI-enabled tools to improve efficiency.
• Participate in governance and third-party risk management activities and mitigate contractual/regulatory risks.
