Job summary

Micron Technology, Inc. in San Jose seeks an Assistant General Counsel, Ventures & M&A, to provide high-quality legal support on transactions for the Corporate Development Team and other business groups.

You will manage venture capital investments, lead M&A deal work, and coordinate across the US and EU to align transactions with corporate strategy. The role requires strong drafting, negotiation, and strategic advisory skills.

Qualifications

• Eight or more years of related experience in a law firm or corporate law department.
• First-chair experience leading venture capital, M&A, and other significant transactions.
• Ability to explain legal concepts to non-lawyers and provide pragmatic legal advice.

Responsibilities

• Manage venture capital investments from start to finish, including term sheets, due diligence, definitive agreements, board observer and information rights, subsequent funding rounds, portfolio oversight, and exits.
• Prepare and negotiate contracts pertaining to mergers and acquisitions, asset and share transactions, and related documents, including transition services agreements, consulting and employment contracts, tax agreements, IP license agreements, and more.
• Deliver legal support across all phases of deals, from planning and negotiation to signing and post-signing regulatory and integration help in the US and EU regions.
• Direct and manage outside counsel, and control legal spend.
• Partner with subject matter experts on data privacy, IP, regulatory matters, tax, public policy, security, finance, sales, procurement, and other internal and external contributors to make sure that transactions correspond with corporate strategy and policies.
• Assist and support other internal departments on legal matters as needed.
• Help develop standards, templates, and playbooks for M&A and venture transactions.
• Identify and implement AI-enabled tools and workflows to streamline deal diligence, contract review and drafting, and transaction management.
