Micron Technology, Inc. invites an experienced Assistant General Counsel, Ventures & M&A, to lead legal support for venture investments and major M&A activities from San Jose.

You will coordinate with the Corporate Development Team and EU/US colleagues to negotiate, structure, and close complex deals while managing outside counsel and legal spend. In this role, you will drive transactions across the US and EU regions, mentor junior lawyers, and help build playbooks and AI-enabled workflows for

Qualifications

• Juris Doctorate from ABA-accredited law school; top-tier program.
• Eight or more years of related experience at a law firm or in a corporate law department.
• First-chair-level experience leading venture capital, M&A, and other significant transactions.
• Outstanding drafting and negotiation skills; ability to explain legal concepts to non-lawyers.
• Able to deliver pragmatic legal and commercial advice and work with various internal teams.

Responsibilities

• Manage legal aspects of venture capital investments from start to finish, including term sheets, due diligence, definitive agreements, board observer rights, and exits.
• Prepare and negotiate mergers and acquisitions contracts and related documents (asset/share transactions, transition services, IP licenses, employment contracts).
• Deliver legal support across all deal phases in US and EU; coordinate with outside counsel and manage legal spend.
• Partner with experts in privacy, IP, regulatory, tax, and other areas to align transactions with corporate strategy.
• Develop standards, templates, and playbooks for M&A and venture transactions; explore AI-enabled tools for due diligence and drafting.
