Job summary

Forward Financing is seeking an Assistant General Counsel – Corporate, Commercial & Structured Finance to lead complex capital markets transactions and corporate governance. You will structure debt facilities, securitizations, and forward flows while guiding a growing team of attorneys.

The role blends strategic, regulatory, and transactional work in a remote-first environment with competitive compensation and a market-based pay philosophy. Boston base is preferred.

Qualifications

• Juris Doctor from an accredited U.S. law school; active bar membership in good standing in at least one state.
• 10+ years of relevant legal practice, with significant fintech, specialty finance, or commercial lending experience.
• Structured finance transactions including warehouse facilities, asset-backed lending, securitizations, or forward flows.
• Commercial lending frameworks knowledge and revenue-based financing familiarity.
• Leadership experience mentoring junior to mid-level attorneys.
• Ability to balance legal risk with commercial priorities under tight deadlines.
• Experience integrating technology into legal workflows and contract management tools.
• Nice-to-haves: fintech/non-bank environments; familiarity with state licensing and disclosure laws.

Responsibilities

• Structure, draft, negotiate, and execute debt facilities, warehouse lines of credit, forward flow arrangements, and asset-backed securitizations.
• Serve as primary legal liaison to lenders, credit funds, banks, and rating agencies.
• Oversee closing activities, facility administration, covenant monitoring, and regulatory reporting.
• Design and structure innovative financing products and revenue-based purchase agreements.
• Draft, review, and negotiate strategic enterprise contracts and software licenses.
• Support corporate secretary functions, subsidiary management, and financing documentation.
• Ensure compliance with federal and state financing regulations and licensing laws.
• Lead and scale the department, manage external counsel, and build scalable processes.
