Job summary

Solenis is seeking a Senior Counsel to support its legal team on corporate governance, securities compliance, M&A transactions, and strategic business initiatives. This role is in a fast-paced, global environment and is a hybrid role requiring 3–4 days per week in the office.

You will advise the Board and senior management, assist with SEC filings, manage due diligence, draft and negotiate documents, and coordinate with outside counsel to meet deadlines.

Qualifications

• Juris Doctor from an ABA-accredited law school.
• 3–7 years of experience at a law firm and/or in-house legal department.
• Experience with M&A transactions and general corporate matters.

Responsibilities

• Support the Board of Directors and senior management on corporate governance matters.
• Assist with preparation and review of SEC filings and related disclosures (Forms 10-K, 10-Q, 8-K, proxies).
• Support securities law compliance under applicable Acts and exchange rules.
• Support domestic and cross-border M&A transactions from inception through closing.
• Draft, review, and negotiate transaction documents (NDAs, LOIs, purchase agreements, merger agreements).
• Coordinate with outside counsel and internal stakeholders to manage timelines and deliverables.
• Support corporate finance and strategic initiatives, including joint ventures.
