Qualifications

• JD from a US-accredited law school and active law license in the US.
• 8+ years of experience in legal transactional work, including UCC/commercial transactions and supplier agreements.
• Strong contract law knowledge, negotiation skills, and risk management for manufacturers and sellers.
• Ability to collaborate across departments and manage multiple tasks.
• Excellent organizational skills and attention to detail; strong written and verbal communication.
• Proficiency with Microsoft Office and contract management tools.

Responsibilities

• Draft, review, and negotiate purchase agreements, supplier agreements, intercompany agreements, and related contracts.
• Provide clear, business-focused legal advice on terms, payment structures, insurance, bonding, and regulatory compliance.
• Prepare notices and communications to customers and third parties; monitor contract deadlines.
• Support project teams with contract interpretation, enforcement, and compliance tracking.
• Coordinate with external counsel on complex matters and maintain organized contract records.
• Review NDAs, vendor agreements, and internal policies.
