Job summary

Larson Maddox is seeking a Corporate Counsel to join a publicly traded global industrial technology company’s high-performing legal team. The role supports SEC reporting, governance, capital markets transactions, executive compensation, M&A activity, and other strategic initiatives that impact the business.

Qualifications

• J.D. required and active bar admission in at least one U.S. jurisdiction.
• Approximately 5+ years handling securities, governance, corporate, or capital markets matters in law firm or public company.
• Strong knowledge of public company compliance, disclosure obligations and governance best practices.
• Experience advising on securities law, capital markets transactions, or board governance.

Responsibilities

• Lead and support public company reporting and disclosure obligations, including proxy statements, Forms 10-K/10-Q/8-K, and Section 16 filings.
• Provide legal support for investor communications and external disclosures.
• Support board governance initiatives, including meeting materials and policies.
• Advise on corporate finance and capital markets transactions and strategic financing matters.
• Assist with equity compensation programs and employee share-based plans.
• Counsel on executive compensation and related matters.
• Assist with legal entity management, subsidiary governance, and cross-border restructurings.
• Support M&A activities, integrations, and regulatory compliance.
• Draft and negotiate intercompany agreements and optimize corporate structures.
