Job summary

Qualifications

• JD and strong academic record from a leading law school.
• Licensed to practice law in applicable state of residence.
• 5+ years of relevant experience at a major law firm or with a sophisticated in-house legal department.
• Significant experience with respect to securities transactions, SEC reporting and filing, corporate governance and/or corporate finance.
• Ability to work independently and as a team member; ability to set priorities and to respond to changing demands.

Responsibilities

• Provide counsel to the Company on governance, securities and growth opportunities.
• Support and manage the SEC reporting process, including periodic filings and 16 reporting.
• Assist General Counsel with governance processes, board meetings and related policies.
• Support corporate and project financings – debt facilities and other structures.
• Review and negotiate acquisition structures and documentation as the pipeline grows.
• Draft and negotiate governance documents and stockholder agreements.
• Oversee outside counsel within budget and approve invoices.
• Provide counsel on legal issues for public company requirements.
