Job summary

CenterPoint Energy is seeking a Senior Counsel with a strong background in securities law, SEC compliance, public company disclosures, and corporate governance. This role will advise on SEC requirements, Exchange Act filings, securities filings, governance matters, and support the Office of the Corporate Secretary.

The successful candidate will work closely with senior leadership, the Board of Directors, Accounting, Treasury, Investor Relations, and other business functions.

Qualifications

• Undergraduate degree and a J.D. from an accredited law school.
• Minimum 3 years of corporate legal experience with public companies.
• Eligible to practice in at least one US state (preferably Texas).
• Experience with SEC reporting, Form 10-K/10-Q/8-K, and proxy statements.
• Strong research, writing, and communication skills.
• Experience supporting Boards and governance processes.

Responsibilities

• Provide legal advice on securities laws, SEC compliance, and disclosures.
• Review and advise on Exchange Act reporting obligations and governance matters.
• Support Corporate Secretary, board meetings, and related materials.
• Assist with proxy statements and shareholder communications.
• Oversee subsidiary governance management and entity formation/dissolution.
• Collaborate with Investor Relations, Accounting and Finance on disclosures.
