Medline is seeking a Legal Counsel, Securities to support the full spectrum of corporate and securities compliance, including preparing and filing Forms 8-K, 10-Q, and 10-K, registration statements, proxy statements, and Section 16 filings; assisting with governance policies and Board materials; and advising on governance and investor‑disclosure matters.

As a key member of the Securities Legal team, the attorney will provide practical, business‑focused guidance on securities law and capital

Qualifications

• Juris Doctor granted by an accredited law school.
• Member of a state bar in good standing.
• Ability to become licensed in Illinois if not already.
• At least 4 years of securities and corporate governance experience.

Responsibilities

• Prepare and file SEC filings, including 10-K/10-Q/8-K and proxy statements.
• Prepare and file Section 16 forms for officers and directors.
• Ensure compliance with securities listing and Reg FD requirements.
• Advise on governance, disclosures, and investor communications.
• Support insider trading controls and blackout periods.
• Assist with quarterly earnings releases and investor presentations.
• Support capital markets activities, including M&A and financings.
