Job summary

FUJIFILM Holdings America Corporation seeks a Senior Counsel to provide strategic corporate and transactional legal counsel for its ink and chemicals businesses. Reporting to the Division General Counsel, Electronics, M&A & Assistant Secretary, the Senior Counsel will manage complex corporate matters, and advise on mergers, acquisitions, divestitures, governance, and a broad range of corporate issues.

The ideal candidate has 12+ years of experience in corporate law, multinational transaction

Qualifications

• 12+ years of experience in corporate law, with a focus on M&A and corporate governance.
• Experience handling complex domestic and cross-border transactions, commercial contracts, and governance matters.
• Strong knowledge of Delaware General Corporation Law and related statutes.

Responsibilities

• Draft, negotiate, and manage corporate transaction documents and related agreements.
• Prepare shareholder/board resolutions, minutes, consents, and governance filings.
• Oversee M&A lifecycle including due diligence, structuring, documentation, and closing.
