FUJIFILM Holdings America Corporation seeks a Senior Counsel to deliver strategic corporate and transactional legal support for its ink and chemicals businesses across the U.S. The role involves drafting and negotiating complex agreements, managing M&A life cycles, and ensuring compliance with multi-jurisdictional filings.

Qualifications

• Minimum 12 years of experience in corporate law, M&A and governance.
• Licensed to practice law and in good standing with the state bar.
• Experience with multinational companies and cross-border transactions.

Responsibilities

• Draft, negotiate, and manage complex corporate transaction documents and governance documents.
• Oversee M&A lifecycle including regulatory filings (CFIUS/HSR) and compliance.
• Provide day-to-day legal counsel on domestic and cross-border matters affecting ink and chemicals businesses.
• Prepare and file corporate reports across US states; manage board and shareholder documentation.
• Develop templates, playbooks, and training on transaction documentation and governance.
