Job summary

FUJIFILM Holdings America Corporation is seeking a Senior Counsel to provide strategic corporate and transactional legal services for its ink and chemicals businesses. The role requires extensive M&A experience, cross-border negotiations, and corporate governance expertise.

The ideal candidate will reside on the East Coast and collaborate with global teams to advise on regulatory compliance, entity formation, and post-closing integration.

Qualifications

• 12+ years of experience in law firms and/or in-house with a focus on M&A and corporate governance.
• Deep knowledge of Delaware General Corporation Law and Canadian statutes.
• Experience with ink and chemicals manufacturing industries preferred; strong regulatory insight.

Responsibilities

• Draft, negotiate, and manage complex corporate transaction documents and deals.
• Prepare and file corporate reports across U.S. states and Canada where required.
• Provide day-to-day legal support for domestic and cross-border transactions.
• Draft various governance documents: resolutions, minutes, consents, and operating/partnership agreements.
• Oversee or supervise outside counsel on transactional matters.
• Ensure compliance with antitrust, regulatory, and securities laws.
