Job summary

Fujifilm Holdings America Corporation is seeking a Senior Counsel on the East Coast to provide strategic legal leadership across ink and chemicals businesses. This role reports to the Division General Counsel, Electronics, M&A & Assistant Secretary, and leads complex corporate transactions, governance, and regulatory compliance.

The ideal candidate will have deep expertise in U.S. and international dealmaking, superior drafting and negotiation skills, and the ability to partner with executive

Qualifications

• 12+ years of relevant experience in M&A and corporate governance.
• Proven track record of domestic and cross-border transactions.
• Deep knowledge of Delaware General Corporation Law and Canadian statutes.
• Experience with ink and chemicals manufacturing industries or related environmental/trade compliance preferred.
• Excellent drafting, negotiation, and communication skills.
• Ability to manage multiple priorities and work across time zones.

Responsibilities

• Draft, negotiate, and manage a broad range of corporate transaction documents and governance materials.
• Coordinate filings and corporate records across states and Canada.
• Advise on M&A, regulatory compliance, and corporate restructurings.
• Lead or supervise outside counsel and manage deal execution teams.
• Provide actionable advice and develop best practices for documentation and due diligence.
