The Senior Counsel will lead complex investment transactions, partner on fundraising, and support compliance in a fast-paced environment. The role requires J.D.

Qualifications

• J.D. from ABA-accredited law school.
• Active bar admission in at least one US jurisdiction.
• 7–10 years in private funds or investment management.
• Experience in private fund formation and offerings.
• Experience representing institutional investors in funds.

Responsibilities

• Lead complex investment transactions from term negotiation through closing.
• Partner on fundraising across GEM’s products and documents.
• Support compliance matters related to investments and fundraising.
• Advise on investor matters, complex contracts, and trading agreements.
