Job summary

HarbourVest Partners is seeking a Vice President, Counsel to support its Evergreen fund platform within a global legal team. You will advise on fund formation, fundraising, compliance, and investor matters across a multi-strategy private markets platform.

The role collaborates with internal teams and external counsel through the fundraising lifecycle, including governance and disclosures. A JD is preferred, with 6–10+ years in complex funds work.

Qualifications

• 6–10+ years of legal experience in a major law firm or combined with in-house work.
• Extensive knowledge of private funds, registered investment companies and evergreen fund formations.
• Ability to translate business strategy into practical legal advice with risk assessment.
• JD or equivalent experience.
• 6–10+ years of validated experience in relevant roles.

Responsibilities

• Support product development, distribution, and governance of Wealth-focused US products.
• Elevate matters to SVP, Registered Funds Counsel and other senior executives as appropriate.
• Draft and negotiate fund and disclosure documents, service provider contracts, distribution agreements, and management company contracts.
• Collaborate with external counsel and manage relationships.
• Work daily with Legal and Compliance colleagues to ensure alignment.
• Analyze impacts of US laws, rules, and regulations on the company and its funds.
• Mentor internal partners on development and implementation of new product offerings.
• Handle other applicable responsibilities as required.
