FUJIFILM Holdings America Corporation is seeking a Senior Counsel to provide strategic corporate and transactional legal support for its ink and chemicals businesses. The role requires deep expertise in corporate law, state filings, and a track record in M&A and governance.

The successful candidate will manage complex domestic and international deals, draft robust agreements, and advise on regulatory matters with cross-border considerations, reporting to the Division General Counsel,

Competenze

• 12+ years of experience in corporate law, M&A, and governance in multinational settings.
• Experience handling complex domestic and cross-border transactions, with a strong drafting background.
• Proven ability to provide strategic legal advice and counsel to senior management.

Mansioni

• Draft, negotiate, and manage complex corporate transaction documents and agreements.
• Oversee corporate governance filings, board resolutions, and entity-level documentation across jurisdictions.
• Advise on regulatory matters including antitrust/HSR/CFIUS and negotiate terms of strategic transactions.
