Fujifilm Holdings America Corporation is seeking a Senior Counsel to provide strategic corporate and transactional legal advice for its ink and chemicals businesses. The role reports to the Division General Counsel, Electronics, M&A & Assistant Secretary, and focuses on managing complex corporate deals, governance, and compliance across multiple jurisdictions.

The ideal candidate will have extensive M&A and corporate governance experience, strong drafting and negotiation skills, and

Qualifications

• 12+ years of experience in corporate law, M&A, and governance in multinational settings.
• Proven ability to manage complex domestic and cross-border transactions and negotiations.
• Deep knowledge of Delaware corporate law and related statutory requirements.
• Experience with regulatory and compliance matters including antitrust and securities.

Responsabilités

• Draft, negotiate, and manage a broad range of strategic corporate transactions and related agreements.
• Prepare and file corporate governance documents, board resolutions, and meeting minutes for U.S. entities.
• Oversee regulatory filings and oversee multinational compliance across jurisdictions.
• Coordinate with tax, finance, and HR, and supervise outside counsel for deal execution.
• Provide day-to-day legal support for domestic and cross-border transactions and contracts.
• Develop templates, playbooks, and checklists to standardize transactional workflows.
