Job summary

Sun World International LLC seeks a Senior Corporate Counsel for Licensing & Business Contracts to lead the company’s licensing and commercial agreements. This role provides strategic legal support across functions, negotiates complex deals, and manages a team within the Legal & IP group.

The ideal candidate has eight or more years of relevant experience, demonstrates strong drafting, negotiation, and leadership capabilities, and is comfortable working in a fast-paced global environment with

Qualifications

• Juris Doctor or equivalent law degree and bar membership.
• Eight+ years of legal experience, with strong commercial contracting and licensing background.
• Three+ years leading, supervising or developing contract/legal professionals.
• Strong drafting and negotiation skills for high-value, cross-border agreements.
• Willingness to travel up to 20%.

Responsibilities

• Lead drafting, review, negotiation, amendment, renewal, and termination of licensing and other commercial agreements.
• Advise on cross-border licensing structures including plant variety rights, patents, trademarks, know-how, royalties, territory, exclusivity, and production terms.
• Translate business objectives into enforceable contract terms while identifying risks and proposing solutions.
• Support contract lifecycle from term sheets to execution, amendments, renewals, and exits.
• Ensure consistency with IP strategy and commercial model across related agreements.
• Manage disputes and coordinate with outside counsel as needed.
