Job summary

Bioworld Merchandising seeks an Associate Corporate Counsel to provide practical, business-focused legal support across licensing, commercial, IP, corporate, employment, insurance, compliance, and dispute-resolution matters.

This attorney will draft and negotiate agreements, advise business teams, coordinate with outside counsel, and strengthen contract management in a fast-paced, international consumer-products environment.

Qualifications

• Active membership in good standing with at least one U.S. state bar and eligibility to practice in Texas.
• 2–5 years of relevant legal experience in a law firm, corporate legal department, or both.
• Experience drafting and negotiating commercial contracts and identifying legal and business risks.
• Excellent legal writing, drafting, negotiation, and analytical skills.
• Ability to manage multiple matters and deadlines independently, with confidentiality.

Responsibilities

• Draft, review, negotiate, and interpret licensing, vendor, and other commercial contracts.
• Advise business teams on contractual obligations, legal risks, and business alternatives.
• Coordinate with outside counsel and manage contract lifecycle from intake to renewal and termination.
• Support domestic and international trademark and IP matters, including clearance and portfolio management.
• Advise on advertising, marketing, product development, copyright, and right-of-publicity issues.
• Assist with corporate governance, entity management, and routine filings.
• Coordinate litigation, regulatory inquiries, and employment-related disputes with outside counsel.
