Job summary

Sun World International, a California-based agriculture and technology company, seeks a Senior Corporate Counsel to lead Licensing & Business Contracts from Peru on a 100% remote basis. You will negotiate, draft, and govern licensing and commercial agreements across multiple jurisdictions, while guiding a legal team and aligning with the company’s IP strategy.

Qualifications

• JD or equivalent law degree with bar admission.
• Eight years of relevant legal experience in commercial contracting and licensing.
• Minimum three years in leadership or supervisory roles.
• Strong drafting and negotiation skills with experience handling complex agreements.
• Willingness to travel up to 20% of the time.

Responsibilities

• Lead drafting, review, negotiation, amendment, renewal, and termination of licensing and other commercial agreements (grower, nursery, marketer, distributor, etc.).
• Advise on complex cross-border licensing structures involving plant variety rights, patents, trademarks, and royalties.
• Transform business objectives into practical contract terms and identify risks with workable solutions.
• Support business teams through the contract lifecycle from term sheets to execution and renewal.
• Establish consistent contracting practices, governance, and alignment with IP strategy; manage disputes with outside counsel as needed.
• Lead, supervise, and develop the Licensing & IP unit, set priorities, and report on performance to the VP, Legal & IP.
