Qualifications

• Education: Juris Doctor (JD) from an accredited law school.
• Bar Admission: Active member in good standing of at least one U.S. State Bar.
• Experience: Minimum of 15 years of leadership in negotiating and drafting significant complex commercial agreements and M&A.
• Supply Chain Transactions: Experience leading complex transactions relating to global supply chains for manufacturing.
• Global Reach: Experience negotiating and closing transactions with counterparties outside the United States.
• Executive Counseling: Experience advising senior management on significant legal and business matters.
• Team Leadership: Leading, mentoring, and developing a legal team.
• Legal Expertise: Exceptional drafting, negotiation, and business judgment.
• Communication Skills: Ability to translate complex legal concepts into business-friendly advice.
• Executive Presence: Ability to advise and build trust with senior executives.
• Travel: Willingness to travel domestically and internationally.

Responsibilities

• Lead the legal workstream on domestic and international M&A, divestitures, carve-outs, minority investments, collaborations, and JVs through all stages.
• Draft, structure, and negotiate a wide range of complex commercial agreements and transaction documents.
• Lead complex transactions involving Ford’s global supply chain, engineering, and manufacturing teams.
• Engage in senior-level planning and strategy development and negotiate with counterparties worldwide.
• Provide strategic thinking, leadership, and project management within the legal function.
• Balance legal risks with business goals and offer risk-calibrated pathways to business objectives.
• Counsel senior management on transaction risk, governance, and execution strategy with actionable recommendations.
• Champion responsible uses of AI, automation, and legal tech to improve delivery of legal services.
• Lead, mentor, and develop attorneys and legal professionals, setting priorities and performance expectations.
• Coordinate cross-functional global legal teams and oversee outside counsel budgets and quality.
• Develop templates, playbooks, and precedent libraries to speed up transactions.
• Support enterprise initiatives in electrification, software/connectivity, energy, autonomy, and relevant programs.
