Job summary

Ford Motor Company seeks a Senior Counsel, Transactions and Market Compliance to serve as a senior legal expert and trusted advisor to Ford Corporate Development, Supply Chain, Product Development, Finance, and senior leadership. The role focuses on proactive counseling regarding major U.S.

and cross-border transactions, including mergers, acquisitions, divestitures, and joint ventures across automotive and adjacent businesses.

Qualifications

• Education: Juris Doctor (JD) from an accredited law school.
• Bar Admission: Active member in good standing of at least one U.S. State Bar.
• Experience: Minimum of 15 years of demonstrated leadership in negotiating and drafting significant complex commercial agreements and U.S. and global mergers and acquisitions.
• Supply Chain Transactions: Substantial experience leading complex transactions related to a global supply chain for manufacturing.
• Global Reach: Experience negotiating and closing transactions with counterparties located outside the United States.
• Executive Counseling: Experience advising senior company management on significant legal and business matters.
• Team Leadership: Experience leading, managing, mentoring, and developing a team of attorneys and legal professionals.
• Legal Expertise: Exceptional drafting, negotiation, and business judgment.
• Communication Skills: Exceptional written and verbal communication skills; ability to translate complex legal concepts into actionable advice.
• Executive Presence: Ability to advise, influence, and build trust with senior executives and stakeholders.
• Travel: Willingness and ability to travel domestically and internationally.

Responsibilities

• Lead and manage the legal workstream on mergers, acquisitions, divestitures, carve-outs, minority investments, collaborations, and joint ventures from strategy through post-closing integration.
• Draft, structure, and negotiate a wide range of complex commercial agreements and transaction documents.
• Lead transactions involving Ford’s global supply chain, engineering, and manufacturing teams.
• Engage in senior-level strategy development and negotiate with counterparties and joint venture partners worldwide.
• Provide risk-aware, business-friendly guidance to executives and management.
