Job summary

Pantheon is seeking a Principal-level 40 Act funds lawyer in New York to lead formation, structuring and ongoing operation of registered funds, including closed-end, interval and other registered vehicles investing in private equity, infrastructure and private credit.

The role collaborates with investment, tax, compliance and finance teams, advises on affiliated transactions, governance, and regulatory risk, and manages external counsel with strong emphasis on SEC matters and filing obligations.

Qualifications

• Seven or more years of relevant legal experience focusing on Investment Company Act matters, ideally with registered funds.
• Experience at a leading law firm with funds practice, plus in-house or sponsor-side private funds work.
• Deep familiarity with 40 Act, including Sections 17(a) and 17(d), and SEC registration and reporting.

Responsibilities

• Provide senior legal counsel on formation, structuring and ongoing operation of 40 Act registered funds.
• Draft and negotiate offering, governance and operational documents for registered funds and investments.
• Advise on transactional, governance and conflicts related to alternative investments and private funds.
