Job summary

Pantheon seeks a Principal-level 40 Act registered funds lawyer to join its New York legal team. The role focuses on formation, structure and operation of registered funds investing in private equity, infrastructure and related illiquid strategies.

You will work with compliance, tax, and investment teams and coordinate with external counsel. The ideal candidate has 7+ years in Investment Company Act matters, experience in both private funds and registered funds, and NY Bar admission.

Qualifications

Seven or more years of relevant legal experience focused on the Investment Company Act (40 Act).
Experience at a leading law firm or in-house with funds practice, including private funds.
Experience advising on formation/operation of 40 Act registered funds investing in alternatives.
Strong governance, conflict and transactional expertise in private markets.

Responsibilities

Lead 40 Act fund management duties, including SEC reporting like Forms N-2.
Draft and negotiate fund documents, agreements and governance materials.
Advise on formation/structuring of registered funds and feeder/master-feeder structures.
Provide investment and regulatory guidance on co-investments, affiliated transactions and governance.
Coordinate with compliance, tax, finance and external counsel on filings and transactions.
Support regulatory affairs, governance and board materials.
