Pantheon in New York seeks a Principal-level 40 Act funds lawyer to join its Legal team. This senior role focuses on formation, structuring and ongoing operation of registered investment companies investing in private markets.

The candidate will advise on Sections 17(a) and 17(d), coordinate across teams, manage external counsel, and support governance, compliance, and regulatory affairs in a fast-paced environment.

Qualifications

• Seven+ years of legal experience in investment management.
• Experience with Investment Company Act matters (40 Act).
• Strong drafting and negotiation skills.

Responsibilities

• Provide legal guidance on formation and operation of 40 Act funds.
• Draft and negotiate fund documents and agreements.
