Job summary

Protege is seeking an experienced in-house counsel to partner with the CLO and own day-to-day legal work across commercial contracts and data privacy. You will navigate data licensing, HIPAA de-identification matters, NDAs, BAAs, DPAs, and cross-border transfers, collaborating with partnerships, product, and engineering.

You will help build templates, playbooks, and AI-assisted workflows, ensuring speed, accuracy, and practical legal guidance in a fast-moving startup environment.

Qualifications

• 6+ years of relevant legal experience with technology transactions and privacy.
• Active U.S. bar membership and JD degree.
• Experience negotiating data licensing and complex tech deals.
• Comfort with ambiguity and delivering practical legal guidance.
• Proficiency with Slack, Notion, and Google Drive for collaboration.

Responsibilities

• Draft, negotiate, and close commercial agreements across data licensing, SOWs, NDAs, BAAs, DPAs, and novel arrangements.
• Counsel teams on data privacy: HIPAA, de-identification, consent, GDPR/CCPA, and AI-specific regulation.
• Triage a high-volume legal queue and determine when fast answers, deep work, or outside counsel is needed.
• Translate legal risk for technical teams and maintain crisp, plain communication.
• Manage outside counsel and build reusable templates, playbooks, and AI-assisted workflows.
• Collaborate with business, partnerships, and engineering to build scalable legal infrastructure.
