Job summary

TEN (Transportation Equipment Network) is seeking a Senior Counsel to join its in-house Legal team on a full-time, remote basis within the United States. The role reports to the General Counsel and advises executive leadership on commercial transactions, technology initiatives, data privacy, and strategic partnerships in the transportation equipment sector.

Qualifications

• J.D. from an accredited law school.
• Active license to practice law in at least one U.S. jurisdiction.
• 8+ years of commercial legal experience; combined law firm and in-house experience preferred.
• Strong expertise in commercial contracting, technology transactions, intellectual property, data privacy, and procurement/vendor relationships.
• Exceptional drafting, negotiation, and stakeholder management skills.
• Ability to balance legal risk with business objectives in a fast-paced environment.

Responsibilities

• Lead Commercial Transactions: Draft, negotiate, and manage a broad range of commercial agreements including customer sales agreements, SaaS/software licensing, subscription agreements, MSAs, SOWs, vendor/procurement contracts, strategic partnership agreements, reseller/referral/distribution/channel agreements, NDAs, and professional services agreements.
• Serve as Strategic Business Partner: Advise leadership on legal issues involving AI, emerging technologies, digital transformation, and data governance; Partner with Sales and Revenue teams on deal strategy, contract negotiations, and risk assessment; Support Procurement on vendor contracting and third-party risk management; Collaborate with IT and business teams on product development, licensing, privacy, AI, and commercialization matters; Counsel Marketing on advertising, promotions, sponsorships, and IP usage; Support Customer Success and Operations on contractual commitments and customer-related matters.
• Drive Risk Management & Legal Excellence: Identify legal and business risks and deliver practical, business-focused solutions; Advise on intellectual property, branding, and technology transactions; Support privacy, cybersecurity, and compliance initiatives; Assist with due diligence and strategic corporate transactions; Manage outside counsel relationships as needed; Develop contract templates, negotiation playbooks, and scalable legal processes; Train business partners on contracting and legal best practices.
