Job summary

Our client, a high-growth energy infrastructure business, seeks a remote Senior Counsel to support expansion across the United States. The role covers commercial transactions, project development, financing, corporate matters, and compliance across a broad lifecycle of major assets.

The Senior Counsel will manage outside counsel, build legal processes, and work with senior executives on risk and strategy in a growing organization.

Qualifications

• Licensed to practice law in at least one U.S. jurisdiction.
• Minimum of six years of relevant legal experience in private practice, in-house, or both.
• Transactional experience in infrastructure, energy, project development, construction, finance, M&A or related sectors.
• Strong drafting, negotiation, and issue-identification capabilities.
• Commercial judgment and ability to differentiate significant business exposure from manageable legal risk.

Responsibilities

• Act as a primary legal adviser to leadership and business teams across the organization.
• Develop understanding of commercial priorities, projects, contractual obligations, and operating risks.
• Oversee legal work for commercial transactions, project development, financing, construction, operations, corporate governance, and regulatory matters.
• Review, draft, and negotiate commercial agreements and other transaction documents.
• Advise on commercial structures, contractual terms, risk allocation, and negotiation strategy.
• Support development and execution of new projects and strategic opportunities.
• Assist with financing transactions, including due diligence, structuring, documentation, negotiation, and coordination with capital providers and advisers.
• Provide legal support for acquisitions, investments, partnerships, joint ventures, and other strategic transactions.
