Job summary

Fluence Energy, Inc. in Alpharetta, GA, seeks an Assistant General Counsel with 6–8 years of experience to join its in-house legal team.

You will advise on SEC reporting, disclosures, and corporate finance, including credit facilities, with senior management and lenders. Key responsibilities include leading Forms 10-K/10-Q/8-K, coordinating with Investor Relations and Finance on disclosures, negotiating credit agreements, and guiding capital markets activities.

Qualifications

• J.D. from an accredited law school and active bar membership in good standing.
• 6-8 years of relevant experience, with at least 3 years at a nationally recognized law firm and ideally 1-2 years in-house
• Substantial experience with SEC reporting and disclosure for public companies
• Hands-on capital markets experience (debt and/or equity offerings)
• Experience negotiating and working with credit agreements and related finance documents
• Excellent drafting, analytical, and communication skills
• Sound business judgment and the ability to manage multiple priorities in a fast-paced environment

Responsibilities

• Lead SEC reporting and disclosure initiatives including Forms 10-K, 10-Q, 8-K and AGM planning
• Partner with Investor Relations on communications with investors and earnings materials
• Coordinate with Finance, Accounting and Internal Audit on controls and disclosure processes
• Oversee Section 16 reporting for executives and directors
• Advise on securities law compliance and Nasdaq listing requirements
• Monitor SEC/ Nasdaq rules and guidance, including cybersecurity & compensation disclosures
• Negotiate and oversee debt financings and financing documentation
